Landlord terminates lease over unpaid Lyon restaurant rent

For 8 months, a restaurant tenant in Lyon, France has not paid €25,000 total rent. The landlord wants to terminate the commercial lease and repossess the premises. The business is subject to a registered pledge (nantissement du fonds de commerce) in favour of BNP Paribas for a €100,000 loan.

Application pratique:

Under Cass. civ. 3, 11 July 2006, no. 05-18.267, the landlord must notify all previously registered creditors of the application to terminate the lease. Obtain a list of registered securities from the commercial court registry (greffe du tribunal de commerce) and formally notify each creditor (e.g., by bailiff) before or alongside your court application. If a creditor offers to pay the arrears and perform the lease obligations, the termination may be refused. Keep proof of notification; failure to notify can invalidate the termination.

Bank protects registered security over Paris retail lease

A retail clothing store in Paris, France has defaulted on its commercial lease, and the landlord has applied for termination without informing the bank that holds a registered pledge over the business assets. The bank’s loan of €80,000 is secured by that pledge, and termination would destroy the value of the security.

Application pratique:

As a registered creditor, you have the right to be notified before termination. Immediately file an intervention in the proceedings, provide your registration certificate, and offer to pay the outstanding rent and costs to keep the lease alive. Request the court to suspend or dismiss the landlord's termination because of the failure to notify you. This decision confirms creditors can perform the lease obligations to avoid forfeiture.
