When a building with a caretaker is sold, the employee's employment contract is automatically transferred to the new owner. This rule, established by the Cour de cassation in 1979, remains fully applicable and binds the new employer. Discover the practical implications for owners and property managers (syndics).

In 1979, in Paris, an employee of the Groupement National Interprofessionnel des Semences et Plants (GNIS) found himself without a job after his activity was taken over by another organisation. This case, decided by the Cour de cassation on 9 May 1979, was to establish a fundamental principle in employment law, directly applicable to the property sector: where the same business continues under a new employer, the employee's employment contract is automatically transferred. For property owners, the question is similar: what happens to the caretaker when the building changes hands? Can one dismiss him on the pretext that his contract was not signed by the new owner? The answer, given over forty years ago, remains highly relevant today.

Although this ruling was made in an agricultural context, it has general application extending to any transfer of an economic entity, including the sale of a residential building with an employee. In Paris, where the investment property market is dynamic, property managers (syndics) and purchasers must consider every consequence. We will decipher this decision, its practical consequences and the precautions to take to avoid costly litigation.

Practical use cases

1

Purchaser of a building with a caretaker

You have just purchased a Haussmann-style building in Paris 16th arrondissement for 3.5 million euros. The caretaker, employed for 20 years, receives a net salary of €2,200, a tied accommodation and has significant seniority. You wish to replace him with a cheaper external service provider.

Practical application:

You cannot terminate the employment contract without a genuine and serious reason. Case law requires you to take on the employee under the same conditions. If you wish to outsource, you must either propose a contractual variation (which the employee may refuse) or initiate a redundancy procedure or dismissal for personal reasons, with the attendant risks.

2

Seller of an investment property with staff

You own a building in the 8th arrondissement of Paris, with a part-time cleaner and a full-time caretaker. You are going to sell it. The potential purchaser asks you to dismiss the caretaker before the sale.

Practical application:

You must inform the purchaser of the existence of the employment contracts and their terms. If you dismiss the caretaker before the sale to facilitate the transaction, the dismissal could be recharacterised as a dismissal without cause if the reason is not legitimate. Furthermore, if the dismissal is economic, you must follow the procedure and pay the appropriate compensation. It is strongly advised to consult a lawyer to secure the transaction.

3

Property manager changing service provider

Your property manager in Paris 9th arrondissement decides to change the cleaning service provider for the common areas. The former provider employed a worker dedicated to this building for 10 years. The new provider refuses to take him on, and the employee claims against the syndicat de copropriété (co-ownership association).

Practical application:

If the transferred activity constitutes an autonomous economic entity (with assigned material and human resources), the employment contracts are automatically transferred to the new service provider. The co-ownership association must be vigilant when drafting the contract with the new provider and require a clause guaranteeing the takeover of staff if the conditions of Article L. 1224-1 are met, in order to avoid joint and several liability.
