Imagine: you own a commercial property in Trélazé, let to a florist for ten years. On 1 September, the tenant serves you a request for renewal of the lease by bailiff's act. You file the letter away, busy with other urgent matters… and three months pass. When you finally reply, it is to refuse renewal. Too late? The Court of Cassation has ruled: yes, you are deemed to have accepted the renewal. But good news: you can still apply for the determination of a new rent.

This is what we learn from the judgment of 4 May 2011 (No. 10-15.473), a key decision for any owner of commercial premises. It answers a question many ask: what happens if the landlord does not respond within the time limit to a renewal request? The answer is nuanced, and we will analyse it together.

Because if you are an owner or tenant of commercial premises, this response time is your best friend or your worst enemy. A simple delay can cost you thousands of euros in poorly adjusted rent. So how to avoid the trap? Follow the guide.

The facts: a story like many others

In this case, everything begins in Le Vésinet (Yvelines). The tenants, operators of a business, request renewal of their commercial lease by bailiff's act on 6 September 2004. The owner, Miss Y..., does not respond within the legal three-month period. Only later does she serve a memorandum for determination of the rent of the renewed lease, then sues the tenants before the commercial rent judge.

The tenants consider that the owner's silence amounts to outright acceptance of the renewal, and that she can no longer claim a higher rent. The owner, on the contrary, argues that she can still apply for the determination of a new rent, since the renewal is acquired, but the rent remains to be determined.

The dispute goes up to the Court of Cassation. It must decide a specific question: does a landlord who responds late lose the right to apply for a new rent? The answer is no, but with significant consequences on the effective date of this new rent.

The reasoning of the court — analysed

The Court of Cassation relies on Article L. 145-11 of the Commercial Code. This provision states that a landlord who has not made known their intentions within three months from the renewal request is deemed to have accepted the principle of renewal. However, this tacit acceptance does not prevent them from applying for the determination of a new rent. Simply, this new rent will only take effect from the date of their application, not from the renewal date.

In other words: the landlord has lost the ability to refuse renewal, but retains the right to negotiate the rent. This is a balanced solution: the tenant is protected in their right to remain in the premises, but the owner is not trapped by an obsolete rent.

In this case, the owner had served a memorandum for determination of the rent after the three-month period. The Court holds that this memorandum constitutes an application for determination of the new rent, and that this rent will take effect from the date of this memorandum. The judges reject the tenants' argument that silence amounts to a waiver of any rent revision.

This decision confirms earlier case law: the negligent landlord is not penalised by the loss of all right to an updated rent, but only by a time lag. This is a pragmatic solution that avoids abuse while preserving contractual balance.

What this means for you — practically

For landlord owners: you must respond within three months to a renewal request. If you exceed this period, you are deemed to have accepted renewal, but you can still apply for a new rent. However, this new rent will only take effect from the date of your application (e.g., a memorandum or a claim). Concrete example: if the current rent is €1,000/month and the market rent is €1,500, you lose €500 per month between the renewal date and your application. Over a year, this represents a shortfall of €6,000.

For tenants: if the landlord does not respond within three months, you have certainty that the lease is renewed. But beware: they can still apply for a rent increase. So you must be ready to negotiate or challenge this application if it is excessive.

Take an example in Les Ponts-de-Cé: an owner lets an 80 m² premises to a hairdresser for €800/month. The tenant requests renewal on 1 March. The distracted owner responds on 1 July: it is too late to refuse renewal. But they can apply for a rent of €1,000 from 1 July. The hairdresser will have to pay €200 more per month from July, but not for March to June.

If you are in this situation, you must act quickly: as soon as you notice the delay, serve a memorandum for determination of the rent to avoid losing even more time.

Four tips to avoid this type of dispute

  • Respect the three-month period. Upon receiving a renewal request, set a reminder at 60 days. Do not let the file sit. If you are an owner, reply in writing, even if just to say you are considering it.
  • Keep a record of all exchanges. Use registered letters with acknowledgement of receipt or bailiff's acts. In case of a dispute, proof of the date is crucial.
  • Consult a specialist lawyer as the deadline approaches. A professional can advise you on strategy: accept renewal with a new rent, or refuse if there is a serious ground.
  • Anticipate market developments. Have the rent of your premises assessed every three years by an expert. This helps you know whether you should apply for a revision or renewal on more favourable terms.

Further analysis: related case law and developments

This decision is in line with a consistent line of authority. For example, the Court of Cassation held in a judgment of 10 December 2008 (No. 07-21.760) that a landlord who responds late is deemed to have accepted renewal, but may still apply for rent determination. The same solution was applied in a judgment of 13 February 2013 (No. 11-28.414).

The trend is therefore clear: judges protect the tenant against a late refusal of renewal, but do not deprive the landlord of their right to a market rent. This avoids situations where an owner would be trapped by a derisory rent for years.

For the future, note the Pinel Law of 2014 which modified certain time limits in commercial leases. But the principle of tacit acceptance and the right to a new rent remains.
