You are the owner of an agricultural plot in Biscarrosse, and your tenant farmer has just informed you that he wishes to renew his lease. But you would like to recover your land to sell it or rent it out at a higher price. What can you do? Does the law offer you a way out? This is precisely the question that arose in a case decided by the Court of Cassation on 6 January 2010. This decision, still little known, settles a crucial point: the option offered by the last paragraph of Article L. 411-76 of the Rural Code can only be exercised after judicial determination and payment of the exit compensation. In other words, you cannot decide at the time of signing the lease that you will leave in seven years. You must wait for the judgment. This rule, simple in appearance, has considerable practical consequences for landlords and tenants. Analysis.

The Facts: A Story Like Any Other

Imagine Mr. X, a landowner in Saint-Vincent-de-Tyrosse, who owns a 5-hectare plot leased to Mr. Y, a farmer. In March 1996, they sign a farm lease (lease of agricultural land) for a term of 9 years. The lease provides for a fixed rent, but also a special clause: at the expiry date, the landlord may choose either to renew the lease or to pay an exit compensation to the tenant (compensation due to the farmer who leaves the premises to compensate for his investments). This option, based on Article L. 411-76 of the Rural Code, is in principle open at the end of the lease. But here, it was inserted at the time of signing, i.e., seven years before the judicial determination of the compensation. In 2005, Mr. X seizes the court to have the compensation determined, but the tenant challenges this: according to him, the option was already exercised in advance in the lease, and the landlord can no longer go back. The Court of Appeal rules in favour of the landlord, holding that the option can only be exercised after judicial determination. The tenant appeals to the Court of Cassation. The Court of Cassation confirms: the anticipated option is impossible. The lease signed in 1996 cannot contain a choice that is only legally open after the judgment.

The Reasoning of the Court — Explained

The Court of Cassation relies on the last paragraph of Article L. 411-76 of the Rural Code. This text, in its applicable version, provides that the landlord may, at the expiry of the lease, either renew the lease or pay an exit compensation. But this choice is only possible after the court has determined the amount of this compensation. In short, the legislature intended that the landlord should know the exact cost of his option before deciding. However, in this case, the option had been stipulated in the initial contract in 1996, without the compensation having been determined. The Court of Appeal therefore rightly held that this option could not have been exercised in advance. The High Court dismisses the tenant's appeal. This reasoning is consistent: it is part of a body of case law protective of the tenant's rights, who must not be deprived of his compensation by a clause in a contract signed years earlier. The judges also remind that the option is a faculty offered to the landlord, but it cannot be imposed on the tenant without the tenant having knowledge of the compensation. However, note: this decision does not affect the validity of the lease itself, only the anticipated option clause. What few people know is that this rule applies even if the lease provides for a very low rent: the option remains conditional on judicial determination.

What This Changes for You — Practically

If you are a landlord-owner in Biscarrosse or elsewhere, you cannot include in your lease a clause allowing you to choose from the start between renewal and compensation. You must wait until the expiry date, then seize the court (the rural lease tribunal) to have the compensation determined, and only then exercise your option. Concretely, if your lease ends in 2025, you must, in 2024, apply for the determination of the compensation. Once the judgment is rendered, you will have a period to choose. Example: in Saint-Vincent-de-Tyrosse, for a 5-hectare plot, the exit compensation can reach €10,000 to €15,000 depending on the tenant's investments. If you have already promised to sell the land, you must factor in this cost. For the tenant (lessee), this decision is protective: it guarantees that the landlord cannot evict you without compensating you on the basis of a clause signed years earlier. You have the certainty that the compensation will be determined by the judge, based on the actual value of your improvements.   • Never stipulate an exit option in the initial lease: the option provided for in Article L. 411-76 can only be exercised after judicial determination of the compensation. Insert a clause stating that the option will be exercised at the end of the lease, after judgment.
  • Keep all evidence of investments: if you are a tenant, keep invoices, photos, certificates. The exit compensation covers improvements made to the land. Without proof, no compensation.
  • Anticipate the end of the lease: six months before the expiry date, seize the rural lease tribunal to have the compensation determined. Do not wait until the last moment: the procedure can take a year.

This decision of 6 January 2010 is part of a consistent line: the Court of Cassation ensures that the option under Article L. 411-76 is not exercised prematurely. One can cite an earlier decision of 28 January 2009 (No. 07-20.981) which already held that the option cannot be exercised before the determination of the compensation. The trend is therefore clear: the judges protect the tenant against abusive clauses. On the other hand, a more recent decision of 13 September 2018 (No. 17-22.111) specified that the option can be exercised after the judgment even if the landlord has already given notice. This shows that the formalism is strict. For the future, landlords must incorporate this constraint into their strategy: it is impossible to lock in the outcome of the lease from the outset. The law protects the tenant, considered the weaker party. If you are a landlord, prepare for negotiation at the end of the lease, with a judge as arbitrator.
