Bank's mortgage vanishes after emphyteutic lease renewal

A regional bank in Rennes lent €450,000 to a leaseholder in 2015, secured by a mortgage registered against a 60-year emphyteutic lease (a long-term ground lease giving the tenant building rights). When that lease expired in 2023 and a new, separate 60-year lease was signed with a different landlord-tenant arrangement, the bank tried to enforce its mortgage against the renewed lease when the borrower defaulted.

Application pratique:

Under this 2009 Cour de cassation ruling, a mortgage registered on an emphyteutic lease is extinguished the moment that lease expires, even if a new lease is signed immediately afterward covering the same property. The bank cannot force a sale (vente sur surenchère) against the new lease unless it re-registers a fresh mortgage against it, because courts must first verify whether the new lease is genuinely a continuation or a distinct new contract. Lenders should insist on a mortgage renewal clause tied explicitly to the new lease term before disbursing further credit, and always check the Journal Officiel or land registry (service de la publicité foncière) for the lease's exact expiry date.

Landowner renegotiating a long-term ground lease

A landowner in Bordeaux granted a 50-year emphyteutic lease in 1974 to a developer who built commercial units; as the lease approached its 2024 expiry, the landowner negotiated a brand-new 40-year lease with the same developer, but on substantially different terms (higher rent, different building rights).

Application pratique:

Because the 2009 ruling confirms that a genuinely new lease terminates all charges (including mortgages) tied to the old one, the landowner should ensure the new contract is drafted as a clearly distinct agreement, not framed as a mere 'renewal' of the old lease, to protect against inherited creditor claims from the previous tenant's lenders. Have a notaire draft the new lease with fresh terms and register it separately at the land registry (around €300-800 in notarial and registration fees). This also clears the way for the landowner to grant new financing security without old creditors resurfacing.

Co-creditor left unpaid after a lease expires

A construction company in Lille held a €120,000 unpaid invoice against a tenant under an emphyteutic lease and registered a judicial mortgage on that lease in 2018; when the lease expired in 2022 and the tenant immediately signed a second, distinct lease with the landowner, the company assumed its mortgage carried over automatically.

Application pratique:

This case law makes clear the construction company's mortgage disappeared the day the first lease expired and does not automatically attach to the new lease, even though the same tenant continues occupying the same premises. The company must act before expiry: either negotiate a new security interest (mortgage or personal guarantee) tied to the second lease, or pursue the debt through ordinary means (formal demand letter, then court action) since the real estate security is lost. Anyone holding a mortgage on a leasehold interest should calendar the lease's expiry date and re-secure their claim well in advance, ideally with legal advice before the term runs out.
