N'est donc pas légalement justifié l'arrêt qui refuse le renouvellement d'un bail pour défaut d'exploitation de commerce, tout en constatant que le locataire avait conservé, jusqu'au moment où il avait mis son fonds en location-gérance, la "commercialisation" de produits dont il avait cédé le droit de fabrication à une autre société, et qu'ainsi, jusqu'à la mise en location-gérance, l'exploitation commerciale avait une existence réelle.

This 1970 Cour de cassation ruling confirms that a tenant who lawfully places their business under location-gérance does not lose the protection of the commercial lease statute, provided there was genuine commercial activity before the arrangement began. Mr Dubois should gather invoices, supply contracts and correspondence proving he personally commercialised goods up until the location-gérance started, then challenge the refusal before the tribunal judiciaire, citing this precedent. He should also check the lease's own clauses on sub-letting or management delegation, since the landlord may separately argue a contractual breach distinct from the statutory ground.

Landlord challenges renewal after tenant outsources operations

A property owner in Lyon lets commercial premises to a bakery company; after the founder retires, the company puts the bakery into location-gérance with a younger operator while retaining ownership of the recipes and brand licensing to a separate group. When the nine-year lease term ends, the landlord refuses renewal on the basis that the original tenant no longer 'exploits' the fonds de commerce directly.

Application pratique:

Under the case law, the landlord's refusal is not automatically valid simply because a location-gérance is in place; French courts will look at whether the tenant maintained a real commercial link (such as licensing income or product commercialisation) before delegating management. The landlord should be advised that a bare refusal risks being overturned and an eviction indemnity claim, so before refusing renewal they should verify precisely how and when the original commercial exploitation ceased. A property lawyer can review the location-gérance contract's date and the tenant's activity records to assess whether the refusal will withstand judicial scrutiny.

Co-owner buying a fonds de commerce under location-gérance

An investor in Bordeaux is negotiating to purchase a retail unit currently let commercially to a company that put its fonds de commerce into location-gérance two years ago, and wants reassurance that the lease will be renewable so the investment remains attractive. The seller states the underlying tenant company kept a supervisory and commercial role over the goods sold, but the buyer has only informal statements, not documents, confirming this.

Application pratique:

Before finalising the purchase, the buyer should require the seller to produce documented evidence of the tenant's continued commercial involvement (invoices, licensing or supply agreements, correspondence) predating the location-gérance, since this 1970 ruling shows such proof is decisive for preserving lease renewal rights. Without it, the buyer risks acquiring a unit whose lease could later be refused renewal on exploitation grounds, reducing its value. It is advisable to make the sale conditional on obtaining this documentation and to have a real estate lawyer verify the location-gérance contract terms and dates against the lease renewal timeline.
