In Lyon, a widow inherits her husband's boulangerie and wants to grant a 9-year management lease immediately to a third-party baker for €1,500 monthly rent. She has never personally run the business.

This ruling confirms that as a surviving spouse and heir, she is exempt from the usual requirement (pre-2004 version of Article L. 144-3) of having personally operated the business for two years. She can sign the lease straight away. She should provide the tenant with a copy of the inheritance deed (acte de notoriété) to prove her status and reference this case law in the lease preamble to avoid future disputes.

The Court of Cassation decided that a surviving spouse, as heir, does not need to meet the two-year operation condition. The lease is legally sound. The tenant should ask for a notarised attestation of the widow's heir status and ensure the lease contract explicitly cites this judicial exception.
